Georgeson LLC is a subsidiary of CPU.  Georgeson was founded over 75 years ago and is the largest proxy solicitation firm in the world, with offices in New York, London, Milan, Hong Kong and elsewhere in Europe and Asia.  Georgeson offers proxy solicitation services to some of the world’s largest publicly-traded companies.  Solicitation services generally involve working with our clients to communicate with their institutional and retail shareholders to ensure they obtain adequate shareholder participation at their annual and special meetings.
Summary of Job Responsibilities:

Work closely with Georgeson clients that require corporate governance consulting. 

Develop effective client solutions to a broad range of governance issues, including executive compensation, shareholder-sponsored proposals, shareholder activism, ESG issues and board-related matters.  

Review relevant disclosure, as necessary, including client proxy statements (CD&A), shareholder letters, and other communications.

Expand and develop consulting product offerings to create revenue opportunities and address evolving client needs.

Participate in issuer/investor engagement campaigns to gain insight into institutional investor voting policy application, behavior and priorities.

Work with Georgeson’s business development, marketing and client services teams on a variety of business projects, including:

Ensuring all external-facing written material is consistent, up-to-date and reflects well on Georgeson’s brand equity and reputation.

Proactively collaborating on cross-functional projects aimed at increasing the business’s efficiency and effectiveness.

Demonstrate Georgeson's thought leadership capabilities by writing a wide range of memoranda, briefing notes, articles and other written materials for internal and external consumption.

Monitor industry trends, news, policy and regulatory changes and other relevant information; relay and interpret this data to the larger Georgeson group on a frequent basis.

Represent Georgeson by participating as a speaker at industry events, conferences and panels; collaborate and contribute content for webinars and other client- and outward-facing events.

Maintain current relationships and build new ones with attorneys, M&A experts, trade associations, issuers, regulators and others in the corporate governance industry.

Qualifications

Skills:

    • Law degree and legal experience
    • Experience at an asset management, consulting or in-house legal department.
    • An ability to contribute meaningfully, in a variety of ways, to the needs of the organization
    • Resourceful, independent, pro-active
