About the role
The Georgeson team is searching for a talented and motivated Corporate Governance Analyst to join our dynamic London-based Corporate Governance Advisory and Proxy Solicitation practice.
The individual will be reporting to our Corporate Governance Manager and assist him in advising clients across Europe and Asia.
The role will involve a broad set of corporate governance areas (including boards of directors, executive remuneration, shareholder rights, share capital and audit) in preparation for clients’ AGMs, EGMs, M&A transactions and activist situations. Our ideal candidate needs to possess a strong interest in corporate governance and a desire to expand their knowledge in this area.
Key responsibilities
  • Assist the Corporate Governance Manager in producing agenda analysis reports, assessing draft AGM documents and the likely proxy advisor vote recommendations on the resolutions.
  • Support the Corporate Governance Manager in producing in-depth analysis reports on clients’ corporate governance arrangements, with the aim of identifying key weaknesses, potential investor criticisms and risks relating to future investor voting behaviour at general meetings.
  • Review of draft remuneration reports and policies, identifying areas for improvement both in terms of structure and disclosure.
  • Assist the team members in presenting findings to key client stakeholders, including non-executive and executive board members, board/company secretaries, heads of legal, IR, compensation and compliance.
  • Support the Corporate Governance Manager in producing monthly corporate governance newsletters, annual proxy season reviews, and other client awareness initiatives.
Required skills/knowledge
  • University graduate or equivalent
  • Fluent in business English (spoken and written)
  • Detail-oriented, eager to learn and analytical
  • Experience working in a client facing environment
  • Highly professional work ethic
  • Ability to handle multiple responsibilities and take initiative
  • Proactive, efficient organisational and time management skills
  • Personal or professional track record of achievement
Desired skills/knowledge
  • Other native/fluent European language skills
  • Prior experience in corporate governance analysis
